Scott Joachim is publisher of the M&A and Private Equity Viewpoints blog and a Partner in the firm's Private Equity practice group. Scott has extensive experience in mergers and acquisitions and corporate finance matters. He regularly represents private equity funds and public and private companies in mergers and acquisitions, recapitalizations, venture financings, joint ventures and other strategic transactions. He also represents public and private companies in capital raising transactions and on general corporate matters. Scott has counseled funds and companies in transactions across a wide array of industries, including, among others, software, computer hardware, digital media, internet services, biotechnology, healthcare services, pharmaceuticals, energy, clean technology (including solar technology), manufacturing, supply chain management, and food and beverage. Scott has substantial experience in cross-border transactions, including transactions between parties in the United States and India, China, New Zealand, Australia and Canada.

Jim Cruger is a Partner and Firmwide Chair of the firm's Private Equity practice group. He focuses his practice in the areas of fund formation, mergers and acquisitions and cross border transactions. Jim has been lead counsel in a significant number of domestic and offshore fund formation transactions. He has also represented numerous private equity funds in acquisition and disposition transactions. Jim represents public companies in their acquisitions, dispositions and investment activities.



Chris Hall is a Partner in the firm's Business and Private Equity practice groups. He focuses his practice on serving clients in the areas of corporate finance, mergers and acquisitions and private equity. Chris manages complex transactions for mid-market companies and is adept at handling transactions having strategic importance to a company's future or particularly difficult issues. He has extensive experience with public and private acquisitions and dispositions, leveraged buyouts, recapitalizations and reorganizations, as well as a wide range of other capital markets transactions and private placements, including initial public offerings, follow-on offerings and Rule 144A transactions.

Peter Lawrence
is a Partner in the firm’s Private Equity practice group. He focuses his practice in the areas of mergers and acquisitions, leveraged buyouts and the formation of private equity funds and other pooled investment vehicles. His transactional experience encompasses a number of industries and market segments, including manufacturing, distribution, logistic services, retail, technology, health care, education, financial services, professional services, lodging and forestry. Peter has represented several prominent private equity funds with respect to their acquisitions, dispositions and related debt and equity financings. He has worked with a number of privately held and publicly traded clients with respect to their M&A transactions and has represented a number of clients with respect to the formation of their domestic and offshore funds. Peter also represents limited partners with respect to their investments in private equity funds, venture capital funds and other pooled investment vehicles.

Teri Lindquist is a Partner in the firm's Private Equity and Corporate practice groups. She focuses her practice on all aspects of private equity, including fund formation, fund investment, representing private equity firms in complex financing transactions in connection with leveraged mergers and acquisitions, and representing portfolio companies in workouts, DIP facilities, exit financings and distressed debt purchases and sales. Teri has worked on debt and equity financing transactions for various private and public companies, private equity groups and subordinated lenders. She recently completed a $650 million offering of limited partnership interests in a venture capital fund of funds and a $400 million offering of limited partnership interests in a co-investment fund. In addition, over the past two years, Teri has counseled major investors in twenty-two different venture capital, private equity and real estate funds. She has negotiated, structured and closed complex financing transactions in connection with leveraged mergers and acquisitions in the $20 million to $3 billion range, including the recent closing of a complex debt and equity restructuring. These transactions include senior, subordinated, mezzanine and second-lien facilities, both secured and unsecured, often involving substantial international components, multiple currencies and complex tax and perfection issues.

Ted Wern is a partner in the firm's Business and Private Equity practice groups. Ted regularly represents public and private companies, private equity funds, investor groups and individuals in a variety of complex transactions, including mergers & acquisitions, recapitalizations, equity and debt financings, joint ventures, strategic alliances and general corporate counseling. His transactional experience encompasses numerous industries and market segments, including manufacturing, distribution, technology, hospitality, real estate, healthcare, consumer products, energy, transportation and general service businesses.
